Welcome to “Pandoo – Bangla Learning is Fun” (the “App”), developed and published by mPower Social Enterprises Ltd. in collaboration with Tinkers Technologies Ltd. (“we,” “us,” or “our”). These Terms of Use (the “Terms”) govern your use of the App and all related services, content, or functionalities offered therein (collectively, the “Service”). By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the App.

1. Acceptance of Terms and Role of Parents & Guardians

1.1. Binding Agreement. These Terms form a legally binding agreement between you and us. The term “you” refers to the adult user (aged 18 or older) or the parent or legal guardian who accepts these Terms on behalf of a minor user (a “Child”).

1.2.
Acceptance on Behalf of a Child. This App is intended for use by children. If you are a parent or legal guardian, you are responsible for your Child’s use of the App. By creating an account or allowing your Child to use the App, you agree to these Terms and our Privacy Policy on behalf of your Child. You agree to supervise their use of the App and assume full responsibility for their compliance. If you do not agree with any part of these Terms, you must not permit your Child to use the App.

2. Description of the Service
2.1. Overview. “Pandoo – Bangla Learning is Fun” is a language learning app designed to teach Bangla to children through interactive lessons, games, and multimedia content.
2.2.
Service Availability. We reserve the right to modify, update, or discontinue any part of the App’s content or features at our discretion. We strive to keep the App accessible but do not guarantee uninterrupted access, as maintenance or technical issues may cause temporary outages.

3. Kids Safety, Parental Controls, and Social Features
3.1. Commitment to Child Safety. The App is designed for the Kids and Families categories of the Apple App Store and Google Play Store. We are committed to creating a safe, educational, and positive environment that complies with the strict policies of these platforms and applicable laws like the Children's Online Privacy Protection Act (COPPA).
3.2.
Parental Gate. To protect children, certain areas of the App are reserved for adults and secured behind a “Parental Gate” (a simple task that an adult can perform). These areas include: * All external links to websites, social media, or other applications. * All in-app purchases and subscription management screens. * The "Parent's Corner" and other app settings. * The initial activation of social features.
3.3.
Social Features (Community Feed). The App includes social features, such as likes and comments within the "Community" section, designed to foster a positive learning environment. These features are governed by the following rules: * Disabled by Default: All social features are turned off by default. * Parental Activation: Access to social features must be enabled by a parent or guardian passing through the Parental Gate. * Safety Reminder: Before a Child can use these features for the first time, an in-app reminder will be shown to promote safe and kind online interaction. * Parental Management: A parent or guardian can manage and disable social features at any time from within the "Parent's Corner" or a similar designated settings area.

4. Account Management
4.1. Parental Account Creation. To access certain features, a parent or guardian must register an account (“Parent Account”). We are committed to protecting children’s privacy. Therefore, when registering an account, you agree to: * Provide accurate and current information for the parent or guardian only. * Never provide the Personal Information of a Child (such as their full name, email address, phone number, or specific birth date) during registration.
4.2.
Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any suspected unauthorized use.
5. User Conduct and Community Guidelines
5.1. Community Rules. You agree to foster a safe, positive, and encouraging environment for all learners. You agree not to engage in any behavior that: * Violates any applicable law.* Infringes upon our rights or the rights of others.* Contains malicious code or viruses.* Harasses, threatens, bullies, or abuses other users.* Shares or solicits personal information from other users.* Disrupts the learning experience of others.
5.2.
Content Restrictions. You may not post, submit, or share any content that is defamatory, obscene, violent, or otherwise inappropriate for children. We reserve the right to monitor and remove any content and to suspend or terminate any account that violates these community guidelines.
5.3.
Reporting Misconduct. If you or your Child encounter any behavior that violates these rules, please report it to us immediately using the contact information provided in Section 16.

6. Advertising Policy for Kids and Families
6.1. Commitment to a Safe Advertising Experience. If you use the free, ad-supported version of the App, we are committed to ensuring the advertising experience is safe and appropriate for children. All advertising practices are designed to comply with the policies of the Apple App Store Kids Category and Google Play Families program.
6.2.
Contextual Advertising Only. We exclusively display contextual advertising, which relates to the content of the App (e.g., an ad for an educational toy in a learning app). We strictly prohibit: * Behavioral advertising (ads based on user activity or tracking). * The collection or transmission of user or device data for advertising purposes, including the use of Apple’s Identifier for Advertisers (IDFA). * The creation of user profiles for ad targeting.
6.3.
Human Review of Ad Creatives. This is our commitment to you: All advertising creatives are subject to human review for age-appropriateness before being displayed in the App. This process is in place to ensure all ad content aligns with the safety standards for the Kids Category.
6.4.
Ad Content Standards. We work with our advertising partners to ensure that ads served in the App do not contain: * Inappropriate or mature content. * Deceptive or misleading claims. * Links that direct users outside of the App without passing through a Parental Gate. * Requests for personally identifiable information.6.5. Advertising Partners. We may partner with third-party ad networks, such as Google AdMob, that have been configured to comply with all applicable child safety policies and to serve only family-safe, contextual ads. We do not endorse the products or services advertised and are not liable for any transactions between you and the advertiser.

7. Subscriptions and Payments
7.1. Parental Authorization for Purchases. All purchasing opportunities and subscription management options are located within a parent-designated area of the App, which is secured behind a Parental Gate to prevent accidental or unauthorized purchases by a Child.
7.2.
Subscription Plans. We offer monthly, half-yearly, and yearly subscription packages. Subscribers gain access to premium features such as an ad-free experience and exclusive content.
7.3.
Payment Processing. All payments are processed securely through the official platform where you downloaded the App (the Google Play Store or the Apple App Store). We do not collect, process, or store credit card information or other financial data directly.
7.4.
Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the end of the current period. You may manage or cancel your subscription at any time through your Google Play or Apple account settings.
7.5.
Cancellation and Refunds. Upon cancellation, you will retain access to premium features until the end of your current billing period. All refund requests are subject to the refund policies of the platform (Google Play or Apple App Store) through which you made the purchase. 8. Intellectual Property Rights
8.1. Ownership. All content in the App, including but not limited to software, design, text, images, graphics, logos, and audio (collectively, “Content”) is the property of mPower Social Enterprises Ltd. and Tinkers Technologies Ltd. or their licensors, and is protected by copyright, trademark, and other intellectual property laws.
8.2.
Limited License. We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the App for your personal, educational, and non-commercial use. You may not reproduce, distribute, modify, or create derivative works from any part of the App without our prior written consent.
8.3.
Feedback. Any feedback, comments, or suggestions you provide regarding the App may be used by us without any obligation to you and will be considered our property upon submission.Of course. 9. Privacy and Data Collection
9.1. Your use of the App is also governed by our Privacy Policy, which outlines in detail how we collect, use, store, and protect user data in compliance with all applicable laws and platform policies. By using the App, you consent to the data practices described in our Privacy Policy and we encourage you to review it carefully.

10. Termination and Suspension
10.1. Termination by You. You may stop using the App at any time. If you have a registered account, you can request its deletion by following instructions in the App or by contacting us directly.
10.2.
Termination or Suspension by Us. We reserve the right to suspend or terminate your access to the App immediately, with or without notice, if we believe you have violated these Terms, misused the Service, or engaged in any fraudulent or illegal activities. We also reserve the right to discontinue or modify the Service at our sole discretion.
10.3.
Effect of Termination. Upon termination, your right to access and use the App will cease. Any data associated with your account may be deleted, subject to our Privacy Policy and applicable law.

11. Indemnification
11.1. You agree to defend, indemnify, and hold harmless mPower Social Enterprises Ltd., Tinkers Technologies Ltd., and their respective directors, officers, employees, and agents from and against any and all losses, liabilities, claims, damages, demands, costs, and expenses (including reasonable legal fees) arising out of or relating to your or your Child’s use of the App, your breach of these Terms, or your violation of any law or the rights of a third party.

12. Disclaimers
12.1. As-Is Basis. The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12.2.
No Guarantee of Accuracy. While we strive to ensure our educational content is accurate, we make no warranties regarding its completeness or reliability. Your use of any content is at your own risk.

13. Limitation of Liability
13.1. To the fullest extent permissible by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the App. In no event shall our total aggregate liability to you for all damages, losses, and causes of action exceed the amount you have paid us in subscription fees in the last three (3) months, or one hundred U.S. dollars ($100.00), whichever is greater.

14. Governing Law and Dispute Resolution
14.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.14.2. Dispute Resolution. Any dispute or claim arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangladesh. You consent to the personal jurisdiction of such courts.

15. Changes to These Terms15.1. We may modify these Terms at any time. We will post the updated Terms within the App or on our website and will revise the “Last Updated” date. Your continued use of the App after any changes become effective constitutes your acceptance of the new Terms.

16. Severability
16.1. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

18. Entire Agreement
18.1. These Terms, together with our Privacy Policy, constitute the entire and exclusive agreement between you and us regarding the Service, and supersede and replace all prior agreements, written or oral. Thank you for choosing “Pandoo – Bangla Learning is Fun.” We appreciate your support and strive to deliver a positive, safe, and educational experience for all of our users.
